These Network Terms and Conditions (“Terms”) are an agreement between users (“user(s)” or “you” or “your”) of any part of the SwyftOps application and associated downloadable apps, as well as any part of the SwyftOps website www.SwyftOps.com, an e-commerce site, (collectively the “Network”), and Aegle Technologies LLC dba SwyftOps (“SwyftOps” or “us” or “we” or “our”). Your use of the Network demonstrates implied acceptance of these Terms without condition.
Please read these Terms carefully. We reserve the right, in our sole discretion and without notice, to change these Terms. The most current version of the Terms will supersede all previous versions. We encourage you to periodically review the Terms in order to stay informed of updates.
Your use of the Network is also governed by our SwyftOps Privacy Policy and, if applicable, your SaaS (software-as-a-service) agreement with us.
Electronic Communications
Viewing the Network or any email messages between you and us constitute electronic communications (“Messages”). You consent to receive Messages. You accept that Messages shall satisfy any legal requirement that notices, disclosures, or other communications be in writing.
Your Account
When you use the Network, you are responsible for maintaining the confidentiality of your credentials (such as passwords) and for restricting access to your account. You agree to accept responsibility for all activities that occur within your account. You may not assign or otherwise transfer your account to any other person or entity. You acknowledge that we are not responsible for third-party access to your account that results from theft or misappropriation. We and our associates reserve the right in our sole discretion to refuse or cancel service, terminate accounts, or remove or edit content.
Links to Third-Party Sites and Third-Party Services
The Network may contain links to other websites (“Linked Sites”). The Linked Sites are not under our control, and we are not responsible for the content of any Linked Site including without limitation any link contained within Linked Sites or any changes or updates to Linked Sites. We provide these links only as a convenience and their inclusion does not imply our endorsement of, or association with, Linked Sites.
Certain derivative services available via the Network are delivered by third-parties. Your use of derivative products, services, or functionality demonstrates implied acceptance and consent that we may share associated information and data with those third-parties on your behalf.
Unlawful or Prohibited Network Use and Intellectual Property
You are granted a non-exclusive, non-transferable, revocable license to access and use the Network strictly in accordance with these Terms. As a condition of your use of the Network, you promise that you will not use the Network for any purpose that is prohibited by the Terms or otherwise unlawful. You may not use the Network in any manner which could damage, disable, overburden, or impair the Network or interfere with any other party’s use and enjoyment of the Network. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available or provided for through the Network.
All content included on the Network (such as text, graphics, logos, images, or any compilation thereof) and any software used on the Network is the property of SwyftOps or its associates and protected by copyright and other laws that guard intellectual property and proprietary rights. You agree to abide by all copyrights, express or otherwise. You further agree to abide by any proprietary notices, declarations, other restrictions, or attributions related to any such content and agree not change or delete them.
In whole or in part you will not modify, publish, transmit, reverse engineer, participate in the transfer or sale of, create derivative works from, or in any way exploit any of the content on the Network. Our content is not for resale. Your use of the Network does not entitle you to make any unauthorized use of any content. You will use content solely for your personal use and will make no other use of the content without first obtaining our written permission. You agree that you do not acquire any ownership rights of any protected content. We do not grant you any licenses to our intellectual property except as expressly authorized by the Terms.
International Users
The Network is controlled, operated and administered by SwyftOps from our offices within the USA. If you access the Network from a location outside the USA, you are responsible for compliance with appliable local and international laws. You agree that you will not use content accessed through the Network in any country where, or in any manner that is, prohibited by laws, restrictions, or regulations.
Indemnification
You agree to indemnify, defend, and hold harmless SwyftOps, its officers, directors, employees, agents, and associated third-parties for any losses, costs, liabilities, and expenses (including reasonable attorney’s fees) relating to or arising out of: (a) your use of or inability to use the Network; (b) any user postings made by you; (c) your violation of these Terms; (d) your violation of any rights of third parties; or (e) your violation of any applicable laws, rules, or regulations. SwyftOps reserves the right, at its own cost, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you in which event you will fully cooperate with SwyftOps in asserting any available defenses.
Warranty Disclaimer and Liability Limitations
THE INFORMATION, SOFTWARE, PRODUCTS, AND SERVICES INCLUDED IN OR AVAILABLE THROUGH THE NETWORK MAY INCLUDE INACCURACIES OR TYPOGRAPHICAL ERRORS. CHANGES ARE PERIODICALLY ADDED TO THE INFORMATION THEREIN. SWYFTOPS AND/OR ITS SUPPLIERS MAY MAKE IMPROVEMENTS AND/OR CHANGES IN THE NETWORK AT ANY TIME.
SWYFTOPS AND/OR ITS SUPPLIERS MAKE NO REPRESENTATIONS ABOUT THE SUITABILITY, RELIABILITY, AVAILABILITY, TIMELINESS, AND ACCURACY OF THE INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS CONTAINED ON THE NETWORK FOR ANY PURPOSE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ALL SUCH INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS ARE PROVIDED “AS IS” WITHOUT WARRANTY OR CONDITION OF ANY KIND. SWYFTOPS AND/OR ITS SUPPLIERS HEREBY DISCLAIM ALL WARRANTIES AND CONDITIONS WITH REGARD TO THIS INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS INCLUDING ALL IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SWYFTOPS AND/OR ITS SUPPLIERS BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, OR ANY DAMAGES WHATSOEVER INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF USE, DATA, OR PROFITS ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OR PERFORMANCE OF THE NETWORK, WITH THE DELAY OR INABILITY TO USE THE NETWORK OR RELATED SERVICES, THE PROVISION OF OR FAILURE TO PROVIDE SERVICES, OR FOR ANY INFORMATION, SOFTWARE, PRODUCTS, SERVICES, AND RELATED GRAPHICS OBTAINED THROUGH THE NETWORK, OR OTHERWISE ARISING OUT OF THE USE OF THE SITE, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE EVEN IF SWYFTOPS OR ANY OF ITS SUPPLIERS HAS BEEN ADVISED OF THE POSSIBILITY OF DAMAGES. BECAUSE SOME STATES/JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU. IF YOU ARE DISSATISFIED WITH ANY PORTION OF THE SITE, OR WITH ANY OF THESE TERMS, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE SITE.
Termination and Access Restriction
We reserve the right, in our sole discretion at any time and without notice, to terminate your access to the Network or any portion thereof.
To the maximum extent permitted by law this agreement is governed by the laws of the State of Kansas, and you hereby consent to the exclusive jurisdiction and venue of courts in Kansas in all disputes arising out of or relating to use of the Network. Use of the Network is unauthorized in any jurisdiction that does not give effect to all provisions of these Terms, including without limitation, this section.
You agree that no joint venture, partnership, employment, or agency relationship exists between you and us as a result of these Terms or use of the Network. Our performance of this agreement is subject to existing laws and legal process and nothing contained in these Terms is in derogation of our right to comply with governmental, court, and law enforcement requests or requirements relating to your use of the Network, or information provided to or gathered by us with respect to such use.
If any provision of these Terms including, but not limited to, the Warranty Disclaimers and Liability Limitations above, is determined to be invalid or unenforceable pursuant to applicable law then that invalid or unenforceable provision will be superseded by a valid and enforceable provision that most closely matches the intent of the original provision. Regardless, the remainder of these Terms shall continue to be in effect.
Unless otherwise specified herein, these Terms constitute the entire agreement between you and us with respect to the Network. These Terms supersede all prior or contemporaneous communications and proposals, whether electronic, oral, or written between you and us with respect to the Network. A printed version of these Terms and of any related notices shall be admissible in judicial or administrative proceedings. It is the express wish of the parties that the Terms and all related documents be written in English.
Children Under Thirteen
We do not knowingly collect, either online or offline, personal information from people under the age of 13. If you are under 13, you may use the Network only with permission of a parent or guardian.
